FEATURES & SERVICES
What is the Austria Haus Club? The Austria Haus Club is a private, member-owned club comprising spacious two, three and three bedroom penthouses residences and an elegant clubhouse. The Club has a streamside location in the heart of Vail Village, next to the Covered Bridge. Club amenities include a reception lobby, members’ lounge, exercise room, heated outdoor swimming pool, underground parking and long term clothing/equipment storage for each membership. How is ownership of the Club evidenced? Title is evidenced by a real estate deed which is recorded and is guaranteed by a title insurance policy. Each member owns a debt-free undivided deeded interest in one of the Club’s elegantly furnished private residences. Each member also owns an undivided deeded interest in the club-house and common areas. Are there any Private Residence clubs at other ski resorts? Yes. The Deer Valley Club at Deer Valley Resort in Park City, Utah and the Franz Klammer Lodge in Telluride are Private Residence clubs. How many Memberships are sold? Austria Haus Club offers a total of nine member-ships for each Club residence. The total number of memberships will never exceed nine per residence or 162 members. Why Buy Fractional Ownership? At the Austria Haus Club you are buying the amount of time you actually use not the entire year. It is more affordable than purchasing a whole vacation home with more services and in a better location. Fractional ownership offers: fee simple title, general warranty deed, rental opportunity, estate of inheritance, interest and real estate deductions, investment closely related to usage, minimum capital risk, expenditure only for practical usage, and most importantly - no maintenance and no housekeeping responsibilities. It is hassle- free! Is the Austria Haus Club a timeshare development? No. Timeshare is not permitted use in Vail Village. As a private resort club, Austria Haus Club gives member’s access to all Club-residences of their membership type and all Club facilities with the right to use them anytime, subject to reservation policies. Austria Haus Club membership is very similar to membership in a prestigious equity golf country club, except members reserve lodging rather than tee times. Why was the Private Residence club concept developed? The Private Residence club is designed to: 1) Provide more convenience, services, and amenities than are provided by an equally luxurious condominium development; 2) Provide member with as much vacation use as typical vacation home-owner uses his or her vacation home; and 3) Match the purchase price with this owner usage. Will I always stay in the same Club residence? No. Members have equal access to all Club residences of their membership type. Members may request a specific residence and this request will be granted, when possible, according to the Lodging Reservations Policies and Procedures. What if the number of members wishing to stay at the Club exceeds the number of residences available? The Austria Haus Club has been designed to equitably allocate peak period reservations when demand for lodging may exceed supply. A computerized rotating priority reservation system insures all members will have equal access to peak-period lodging over the years. (The Lodging Reservation Policies and Procedures section provides a detailed explanation of member use privileges.) Do members pay check-out fees when they stay at the Club? Yes. A check-out fee will be charged for each visit. These fees cover daily bed-making, fresh towels and trash removal in addition to end-of-occupancy cleaning. Members and guests may request daily maid service for an additional charge. Which family members have Club privileges? Spouse and dependent children under the age of 25 have full membership’s privileges. What are the guest privileges? Members may invite unaccompanied Guests to use their confirmed planned vacation periods. Only members can use space available reservations. How often can owners/members use the Club? As often as they wish, subject to the Club’s reservation policies. Each membership can reserve up to 14 days of Planned Winter Vacations, 14 days of Planned Summer Vacations and up to 7 days of Optional Planned Winter or Summer Vacations. After all the Planned Vacations are reserved, members can reserve additional lodging on a “space available” basis. There is no limit to the amount of use. If some members use the Club less than their available time, other members will be able to use it more. (The Lodging Reservations Pol-icies and Procedures sections provide a detailed explanation of members use privileges.) Can Members rent their confirmed reserved Vacations? Yes. Members may rent their winter seasons Planned or Optional Planned Vacations with the exception of Christmas and New Year’s week. Members may rent any of their summer seasons Planned or Optional Planned Vacations. Space Available Vacations may not be rented. Does the Club have an exchange program? Austria Haus is affiliated with THIRDHOME. THIRDHOME is a luxury private reciprocity club with an average property value of over $2.3 mil-lion. THIRDHOME enables you to exchange one of your five weeks at the Austria Haus for stays at over 7,000 luxury destinations worldwide. By de-positing vacation weeks, you can earn keys to im-mediately reserve any property on the THIRD-HOME website. Can members use the Club facilities if they are not staying overnight at the Club? Yes. Members can use the Club facilities and com-mon areas when not staying overnight. (The Lodg-ing Reservation Policies and Procedures section provides a detailed explanation of member use privileges.) What is the quality of Club construction, furniture and accessories? Club construction is of the highest quality. Each residence is completely and elegantly furnished and features top of the line kitchen appliances. The accessory package includes kitchen utensils, cookware, dishware, and silverware. The living room has a large, stone, gas-fireplace. There is a LCD television and DVD in the living room and master bedroom and cable television in the other bedrooms. Can an Austria Club Membership be resold? Yes. Like any other form of real estate, the member’s undivided deeded interest can be sold or transferred by the member, or sold by a licensed real estate through the multiple listing services, subject to the Club declaration and Bylaws. Who establishes the membership dues and controls the affairs of the Club? A member-elected Board of Directors establishes budgets and dues on an annual basis. Can families, individual, or companies share a membership? Yes. Austria Haus Club memberships allow two in-dividuals and their families to have Club privileges. In addition, partnerships, corporations, and trusts can also become members. Do owners/members pay annual membership fees? Yes. The annual membership fees pay for the professional management and operation of all Club facilities and amenities. Included in these annual fees are funds for staff salaries, supplies, maintenance, insurance, trash removal, legal/accounting, fuel, utilities, property taxes, transportation and refurbishing reserves of Club facilities.
QUESTIONS & ANSWERS
OVERVIEW The Austria Haus Club Lodging Reservations Policies and Procedures have been designed to ensure that all members have equal access to the residence category they have purchased. Lodging categories include "Planned Weeks," "Optional Planned Weeks" and “Space Available Weeks." These usage options are described below. The Lodging Reservations Policies and Procedures have been carefully formulated in an attempt to be fair and equitable to all members. The Austria Haus Club Board of Directors reserves, as permitted in the Club's Declaration/Bylaws, the right to alter these Lodging Reservations Policies and Procedures from time to time as conditions warrant. Changes which intentionally discriminate against any category of membership are not permitted. In the event there is a conflict between the Declaration/Bylaws and the Lodging Reservations Policies and Procedures, the Declaration/Bylaws will control. Although the deed you receive to your membership will show a specific condominium number, members are purchasing the right to use a class of condominium residences and may/or may not stay in the condominium listed on the deed you receive. TERMS AND DEFINITIONS Because the following policies and procedures are somewhat complex, certain terms and phrases have been defined below to clarify their intended meaning and usage. Throughout the following policies and procedures, these terms and phrases can be identified because they begin with capital letters. "Membership" - A Membership includes membership privileges for a particular residence category for the Member, his or her spouse and dependent children under the age of 25. "Member" - The owner of a Membership or the person or entity designated by the Owner to have Membership privileges ("the Designated Owner"), as defined by the Charter of the Austria Haus Club. "Accompanied Guest" – Any guest who lodges with a Member in the Member’s Club Unit. The total number of persons lodged in a Club Unit cannot exceed the Sleeping Capacity stipulated by the Association for that Club Unit category. No additional lodging fees are charged for Accompanied Guests. “Unaccompanied Guest” – Any guest who lodges in a Club Unit without being accompanied by a Member during a Member’s Planned or Optional Planned Week. Unaccompanied Guests may not occupy Space Available Week reservations. Members requesting lodging for an Unaccompanied Guest must specify the Unaccompanied Guest’s name, address, telephone number, and email address in writing at least 14 days prior to arrival so that the Club can send a confirmation notice to that Unaccompanied Guest. Unaccompanied Guests are required to pay all Check-out Fees and incidental charges upon checkout unless the sponsoring Member has arranged payment in advance. The sponsoring Member is responsible for any outstanding charges made and/or damages caused by their Unaccompanied Guests. The total number of Unaccompanied Guests lodged in a Club Unit cannot exceed the Sleeping Capacity stipulated by the Association for that Club Unit category. “Day Use Guest" – Any guest of a Member who utilizes the Club’s non-lodging facilities on a pre-approved Day Use basis. Breakfast, athletic club and ski valet and storage are not available as Day Use Guest services. Day Use Guests must be accompanied by a Member and may be subject to a daily fee for such usage as periodically established or al-tered by the Association Board. The Association may also limit the number of Day Use Guests permitted on the prem-ises during any given time. "Day Use" - Member use of the Association’s non-lodging facilities (lounge and library, swimming pool, fitness room, and/or parking) subject to pre-approved availability and the priority usage rights of Members and/or other guests lodging at the property. Breakfast, athletic club and ski valet and storage are not available as Day Use ser-vices. The Association reserves the right to limit Day Use availability and to establish and collect Day Use fees from Members. Members must contact the Club prior to the intended day of use to request and receive Day Use approval. Members and their Day Use guests must also check in daily with the Club to request and receive any sub-sequent Day Use approval. “Planned Weeks" - The pre-reserved Club Weeks that a Member is entitled to reserve and occupy themselves or send Unaccompanied Guests to use. Within their respective Club Unit category, each Club Member may reserve up to two Winter Season Planned Weeks, two Summer Season Planned Weeks, and one Optional Planned Week per Club Year. Members who reserve their Optional Planned Week during the Winter Season have used their Optional Planned Week for the Club Year and are not eligible to reserve an Optional Planned Week during the Summer Season. Planned Weeks are the only Club Weeks that may be rented, exchanged, or occupied by other Unaccompanied Guests, subject to blackout period limitations as periodically established or altered by the Association Board of Directors. “Space Available Week” – The Club Weeks that remain unassigned after each seasonal Planned Week selection process that are available for Member reservation and occupancy over and above the Planned Week assignments. Members can occupy a Club Unit of their particular Club Unit category during Space Available Weeks for periods up to seven days per reservation. Each Member can have only one confirmed Space Available Week reservation on the Club Unit reservation books at a time, except that one additional Space Available Week reservation can be requested for Club Units that remain available within five days of the desired arrival date. Unaccompanied Guests may not occupy Space Available Weeks nor may Space Available Weeks be rented or exchanged. “Rotating Priority Reservation System” – The orderly succession established to ensure that Member access to the Austria Haus Club is equitable by identifying Order of Selection Priority when the number of Member reservation requests for a specific Club Week in a specific Club Unit category exceeds the number of Club Units available. “Reservation Priority Number” – The unique identification number associated with each Club Interest and used to establish the applicable Order of Selection Number for each Club Year reservation season. It is comprised of a reservation group letter (A through I, representing the nine fractional shares in each Club Unit) and a reservation group number (1 through 7 for 2-Bedroom Units, 1 through 5 for 3-Bedroom Units, and 1 through 6 for Penthouse Units, representing the total of Club Units within the Club Unit category). “Order of Selection Number” – The Order of Selection Number determines the reservation priority within the Rotating Priority Reservation System. It is based on the Reservation Priority Number and is assigned to each Club Interest prior to the Planned Week Reservation Periods. Both the Order of Selection Numbers and the Reservation Priority Numbers are shown on the Rotation Chart sent each season with the Planned Week reservation form. The Order of Selection Number for the Second Planned Week is the reverse of the First Planned Week. When demand for certain dates exceeds lodging supply, reservations are assigned to Club Interests with the lowest Order of Selection Number (1, 2, 3, etc.). “Waitlist” – The Club maintains a Waitlist for Members requesting alternative or additional Club Week reservations. The Waitlist is prioritized on a first-come, first-served basis and by the 3 type of week requested (Planned Week, Optional Planned Week, Space Available Week), except that Members who have cancelled a confirmed Planned Week on a timely basis and submitted a request for a replacement Planned Week receive selection priority over Optional Planned Week or Space Available Week Waitlist requests. Once Planned Week Waitlist requests are fulfilled, all other Waitlist requests revert to the defined Waitlist priority. “Full Occupancy Option” – When a specific set of occupancy conditions are met, a Member may occupy a Club Unit that differs in category from the Club Unit type purchased. The Association Board of Directors, from time to time, will review and set the occupancy conditions under which Members may use this Full Occupancy Option and the fee charged for using this option. A Member may occupy a Club Unit that differs in category from the Club Unit category owned if: All Club Units in the Member’s Club Unit category are reserved. The Member’s reservation is made less than 14 days from the scheduled arrival. At least one Club Unit of the alternative Club Unit category requested remains available to Members in that category after the Full Occupancy Option is exercised; provided, however, that within 48 hours of scheduled arrival, the Full Occupancy Option may be exercised to assign the last available Club Unit in an alternative Club Unit category. “Internal Exchange of Planned Weeks” – Members may exchange their confirmed Planned or Optional Planned Weeks with other Members by either arranging directly with another Member or contacting the Club for assistance. Written notice of an Internal Exchange between Members must be provided to the Club at least 14 days prior to the arrival date of the Member using the earliest Planned Week involved in the exchange. Club management encourages and will make all reasonable efforts to facilitate such exchanges between Members. Space Available Weeks may not be used for exchange. "External Exchange or Rental of Planned Weeks" - Members may exchange or rent any of their confirmed Planned or Optional Planned Weeks for occupancy by Unaccompanied Guests, except for the high demand blackout periods of Christmas and New Year’s weeks, or as periodically established or altered by the by the Association Board of Directors. Space Available Weeks may not be exchanged, rented, or occupied by any other Unaccompanied Guests. “Sleeping Capacity” – The maximum number of persons permitted to occupy a Club Unit. The Sleeping Capacity of a Club Unit is equal to the number of bedrooms times two, plus the number of sleeper sofas times two. (2-bedroom Club Units = 6 person Sleeping Capacity, 3-bedroom and 3-bedroom penthouse Club Units = 8 person Sleeping Capacity). “Check-out Fee” – The charge assessed for each periodic stay in an Austria Haus Club Unit, payable upon checkout, proceeds from which contribute toward offset of the operational costs of occupancy. The Check-out Fee schedule for the Club is set annually by the Association Board of Directors.

Members remain primarily responsible for canceling a confirmed week as soon as they know they will be unable to use that week. Cancellations must come from a Member directly; no third party cancellations shall be accepted. Although not expressly agreeing to do so, it is the intention of Club management to email a reminder to each Member holding an assigned week 20 to 30 days ahead of scheduled arrival. Management will ask for arrival information and any special requests. At 14 to 16 days ahead of scheduled arrival, Club management will again email Members that have not yet responded, requesting confirmation of arrival. Failure to cancel or respond will be assumed to indicate intent to arrive as scheduled for the confirmed week. A Member that does not cancel a confirmed week by email at least 14 days ahead of scheduled arrival shall be charged the 3-7 day Check-out Fee for his/her respective Club Unit category. Such Member will also lose the privilege of being able to rebook a substitute Planned Week that season. A Member that cancels at least 14 days in advance of normal arrival will not be responsible for any further charges. If a Member cancels within the final 13-day period, and another Member uses the cancelled space as Space Available, management will reverse the charge from the original Member’s account. The Space Available user takes on responsibility for the Check-out Fee whenever they confirm intent to use the Club Unit that has become available. Assigned charges will be made to the responsible Member account along with the quarterly Assessments and will be considered the same as Assessments payable. Club management has no authority to cancel charges made under this policy unless they are at fault. Assigned Club Weeks placed with a rental or exchange agent will be considered the same as any other assigned week. The rental or exchange agent is not responsible for any charges if a week submitted does not rent or exchange.
